Position Description: The Morgan Stanley Tax Department in New York is searching for a Senior Manager/Vice President who will be a member of the Firm's Tax Counsel Group. The Tax Counsel group is a legal group within the Morgan Stanley Tax Department (130 people worldwide) that provides tax advice and support on Morgan Stanley tax matters.
Responsibilities will include:
* Supporting various business units of the firm by providing tax advice relating to their transactions * Assisting members of the Morgan Stanley Tax Department on technical tax issues * Transaction structuring * Reviewing and negotiating transaction documentation * Senior management presentations on findings and recommendations * Managing external tax advisors
Skills Required: To qualify, candidates must have:
* A J.D. from a nationally recognized law school * 2 ½ to 5 years of significant transactional and technical experience in a law firm * Proven project management skills * Ability to deal confidently with senior professionals, both within Morgan Stanley and externally * Excellent analytical, research, computer, organizational and interpersonal skills * Effective written and verbal communication skills * Strong relationship-building skills * The ability to work effectively in a dynamic, time sensitive multi-engagement environment with varying deliverables and changing requirements * A dedication to teamwork
Skills Desired: Desirable background includes experience in:
* Section 409A and Executive Compensation * Partnership taxation * The taxation of financial products * ISDA documentation including tax representations
